All rights reserved. This codebase, including but not limited to source code, structure, styling, layouts, copy, visual assets, and bundled materials (the "Template"), is proprietary intellectual property of Launch Media AS and is protected by applicable copyright, trademark, and other intellectual property laws. ## 2) Limited License Grant Subject to full payment, valid purchase, and continued compliance with these terms, Launch Media AS grants the purchaser a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Template **only for one business entity and its own internal commercial activities**. Unless explicitly authorized in writing by Launch Media AS, this license does **not** permit use by affiliates, clients, agencies, partners, or any third party outside the licensed business entity. ## 3) Prohibited Uses The following are strictly prohibited: - Copying, reselling, relicensing, sublicensing, renting, sharing, distributing, publishing, or making the Template available to any third party. - Uploading the Template (in whole or in part) to public repositories, marketplaces, forums, AI training datasets, or other public/private sharing platforms. - Creating derivative products, templates, starter kits, or competing offerings based on the Template for sale, transfer, or distribution. - Removing or altering copyright, ownership, or attribution notices. - Circumventing technical or contractual access controls. - Any use that violates applicable law, regulation, or third-party rights. Any unauthorized use is unlawful and may result in immediate license termination and legal action. ## 4) Third-Party Materials and Licenses The Template may reference or include third-party materials (e.g., fonts, icons, stock media, scripts, embeds, APIs, libraries, or platform assets), each of which may be subject to separate license terms. The license granted by Launch Media AS does **not** override third-party license terms. You are solely responsible for identifying, reviewing, and complying with all applicable third-party licenses, usage restrictions, attribution requirements, and payment obligations. ## 5) User Responsibility and No Advisory Relationship You are solely responsible for: - How you implement, deploy, modify, and use the Template; - The legality, accuracy, and compliance of your content, operations, and business practices; - Security, backups, maintenance, accessibility, and performance of your implementation. No legal, tax, compliance, cybersecurity, data protection, or business advisory relationship is created by your purchase or use of the Template. ## 6) GDPR, Privacy, and Regulatory Compliance You are solely responsible for ensuring your use of the Template complies with all applicable data protection and privacy laws, including GDPR and local implementation laws, as well as ePrivacy/cookie rules and marketing consent requirements. Launch Media AS does not represent or warrant that your specific implementation is compliant with GDPR or any other regulation. You must obtain independent legal/compliance advice and implement any required legal documents, consent mechanisms, records, and operational controls. ## 7) Disclaimer of Warranties TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TEMPLATE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AVAILABILITY, OR ERROR-FREE OPERATION. Launch Media AS does not warrant that the Template will meet your requirements, achieve specific business outcomes, or operate uninterrupted or without defects. ## 8) Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAUNCH MEDIA AS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO THE TEMPLATE OR ITS USE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF LAUNCH MEDIA AS FOR ALL CLAIMS RELATING TO THE TEMPLATE SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE TEMPLATE LICENSE. ## 9) Indemnification You agree to defend, indemnify, and hold harmless Launch Media AS, its owners, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: - Your use, misuse, or modification of the Template; - Your breach of these terms; - Your violation of law, regulation, or third-party rights; - Your processing of personal data or privacy/non-compliance issues. ## 10) Termination This license automatically terminates upon breach of these terms. Upon termination, you must immediately cease all use and destroy all copies of the Template in your possession or control. Termination is without prejudice to any rights or remedies available to Launch Media AS. ## 11) Reservation of Rights All rights not expressly granted are reserved by Launch Media AS. ## 12) Governing Law and Venue These terms shall be governed by and construed in accordance with the laws of Norway, without regard to conflict of law principles. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts of Norway, unless otherwise required by mandatory law. --- For custom licensing, multi-entity usage, or agency/client deployment rights, written permission from Launch Media AS is required in advance.
